WHEREAS, Webmaster desires to utilize the HOLLYWOODSEXTAPES.COM affiliate system; and

WHEREAS, HOLLYWOODSEXTAPES.COM agrees to provide Webmaster with such use.

NOW, THEREFORE, the parties hereto agree as follows:

1. HOLLYWOODSEXTAPES.COM shall pay Webmaster a commission in the amount of 35% of the sale price of each video charged to the customer at the time of purchase. HOLLYWOODSEXTAPES.COM reserves the right, at its sole discretion, to adjust payout amounts as market conditions vary. Any changes in payout amounts will be announced. Payments are sent bi-weekly. HollywoodVideoTapes.com, LLC handles all payouts, which occur every other Friday. Webmaster must be aware that HollywoodVideoTapes.com, LLC will only make a payment when the Webmaster's balance is $50 or more. Any commission not paid will be carried forward until the Webmaster reaches the required minimum payment amount.
2. HOLLYWOODSEXTAPES.COM shall provide Webmaster suitable banner advertisements for Webmasters site. HOLLYWOODSEXTAPES.COM retains all copyright and ownership of the banners and ads provided, including all images therein. During the existence of this agreement, HOLLYWOODSEXTAPES.COM hereby grants to you the right to use banners and ads provided by HOLLYWOODSEXTAPES.COM on your web page, solely to generate memberships to HOLLYWOODSEXTAPES.COM affiliate sites. Upon any termination of your participation in this Webmaster Program, these rights shall cease and you must immediately remove all HOLLYWOODSEXTAPES.COM banners and ads from your web pages. Webmaster may use other banners and advertisements to promote HOLLYWOODSEXTAPES.COM affiliate sites provided any such banners or advertisements comply with part 6 of this agreement.
3. Webmaster will not be paid commission on any fraudulent transactions, or when fraud is suspected. Fraud will be prosecuted to the full extent of the law.
4. Webmaster must be at least 18 years old (or 21 in areas where 21 is the age of majority) to use the HOLLYWOODSEXTAPES.COM affiliate system.
5. Webmaster shall be solely responsible for all content on its Internet web site (site). Webmaster acknowledges that HOLLYWOODSEXTAPES.COM does not actively monitor the content of Webmaster's site and assumes no responsibility for the content of Webmaster's site.
6. Webmaster agrees to utilize only legal images and content that is licensed to Webmaster. Webmaster shall refrain from displaying or using any content that infringes upon the copyright, United States patent, or right of another person or entity. Webmaster shall refrain from using the HOLLYWOODSEXTAPES.COM affiliate system in any way that is illegal, libelous or may subject HOLLYWOODSEXTAPES.COM to any other liability.
7. Webmaster will refrain from content of or any reference to child pornography, bestiality, rape, torture, or any other illegal forms of content. If HOLLYWOODSEXTAPES.COM is informed by competent authority that Webmaster is in violation of state or federal laws regarding content on Webmaster's site, Webmaster will be removed from the HOLLYWOODSEXTAPES.COM system, and all commissions owed to Webmaster will be forfeited. Use of illegal content by Webmaster constitutes a material breach of this contract.
8. HOLLYWOODSEXTAPES.COM reserves the right to refuse services to any Webmaster at any time for any reason.
9. Webmaster agrees to indemnify, defend and hold harmless HOLLYWOODSEXTAPES.COM from any claims arising out of the use of its services, including but not limited to, prosecution under any pornography, obscenity, copyright or licensing laws of the United States or any state, civil litigation, administrative action, arbitration or mediation. This indemnification includes an obligation for Webmaster to reimburse HOLLYWOODSEXTAPES.COM for any costs, fees or expenses that HOLLYWOODSEXTAPES.COM may incur as a result of any such claims.
10. The rights of Webmaster under this agreement are not transferable.
11. This agreement may, at the sole discretion of HOLLYWOODSEXTAPES.COM, be amended. Webmaster agrees to abide by any amendments to this agreement. Webmaster agrees to review this agreement periodically for amendments.
12. This agreement shall exist indefinitely from the date of acceptance until cancelled by either party. HOLLYWOODSEXTAPES.COM and Webmaster reserve the right to cancel this agreement at any time.
13. Webmaster agrees to use the HOLLYWOODSEXTAPES.COM system at its own risk. HOLLYWOODSEXTAPES.COM provides no warranty in regards to this agreement. Any liability by HOLLYWOODSEXTAPES.COM for loss of revenue, data, or time through, but not limited to, any action, error, omission, deletion, or delay of service by HOLLYWOODSEXTAPES.COM, is expressly disclaimed.
14. Webmaster agrees that this agreement shall be governed by and construed under the laws of the State of Arizona without regard to conflicts of laws provisions thereof.
15. Webmaster agrees that all disputes under this agreement shall be determined in the state courts of the State of Arizona, and the parties hereto do hereby submit to the personal jurisdiction of such courts for purposes of determining matters related to this agreement.
16. Webmaster agrees that they will not use spam as a means of promotion. Spam includes, but is not limited to, unsolicited emails, instant messages, newsgroup postings, and chatrooms. Webmasters that violate the no-spam rule will have their account terminated immediately and have all earnings forfeited. Email promotions MUST conform to the CAN-SPAM ACT.
